These Terms and Conditions (“Terms”) govern your use of HappyLecture’s web application, website (https://happylecture.com), and related services (collectively, the “Services”). The Services are operated by HappyLecture (“HappyLecture,” “we,” “us,” or “our”), a company based in London, United Kingdom. By accessing or using our Services, you agree to these Terms, which form a binding agreement between you and HappyLecture.

1. Who We Are

HappyLecture uses artificial intelligence to help students generate notes from lecture videos and slides. We provide a Software-as-a-Service (SaaS) platform accessible through our website and associated tools. Our mission is to support learners in transforming lecture content into more accessible and useful study materials.


2. Eligibility and Registration

Minimum Age: You must be at least 13 years old to use the Services. If you are under 18, you must have the permission of your parent or legal guardian to use the Services. By using the Services, you represent and warrant that you meet the applicable age requirements and, if under 18, have the necessary consent.

Account Registration: To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for all activities under your account and must keep your login details confidential. You may not share your account credentials with others. If you are creating an account on behalf of an organisation, you represent that you have the authority to bind that entity to these Terms.


3. Pricing and Subscription Plans

HappyLecture offers a hybrid SaaS pricing model with the following plans:

  1. Free:
  2. One-time allowance of 2 notes
  3. Up to 30 minutes per audio upload

  4. Flex (Pay-as-you-go):

  5. £0.99 per 5 notes
  6. Usage-based notes
  7. Up to 60 minutes per audio upload

  8. Standard (Monthly Subscription):

  9. £9.99 per month
  10. 30 notes per month
  11. Up to 180 minutes per audio upload

All prices are listed in British Pounds Sterling (GBP) and include applicable taxes where required by law. We reserve the right to change our pricing at any time upon reasonable notice. If you do not agree with the price changes, you may cancel your subscription prior to the next billing cycle.


4. Use of Our Services

Permitted Use: Subject to these Terms, you may access and use our Services for lawful purposes. You agree to comply with all applicable laws and regulations, and any guidelines or policies we provide, including any acceptable use policies or content guidelines.

Prohibited Activities: You may not:

  • Use the Services for any illegal, harmful, or abusive activity.
  • Infringe or violate the rights of others (including intellectual property rights or privacy rights).
  • Copy, modify, distribute, sell, resell, lease, or sublicense the Services or any part thereof.
  • Reverse engineer, decompile, or attempt to discover the source code or underlying components of our AI models or systems (except where prohibited by law).
  • Use automated means to extract data from the Services without our prior written consent.
  • Interfere with the proper operation or security of the Services.
  • Use any output from the Services (“Output”) to create competing services or AI models without our written permission.

5. Software and Third-Party Services

Software Downloads: Our Services may allow you to download software (e.g., a mobile application). You agree that software may update automatically. Any third-party open-source components included in our software may be subject to their own licenses, which we will make available to you.

Third-Party Services and Content: Our Services may integrate with or provide links to third-party products, websites, or services (“Third-Party Services”). Your use of Third-Party Services is at your own risk and subject to their separate terms and conditions. We do not endorse or assume responsibility for any Third-Party Services.


6. User Content and Intellectual Property

Your Content: You may provide input such as text, audio, video, or other materials to generate notes (“Input”). The Services will produce results based on your Input, including text-based notes (“Output”). Collectively, Input and Output are “Content.”

You represent and warrant that you have the necessary rights and permissions to provide Input and that your Input does not violate any law or the rights of others.

Ownership:
- You retain all ownership rights in your Input.
- To the extent permitted by law, you own the Output generated by the Services based on your Input. We assign to you any rights we may have in the Output. This assignment does not apply to any Output independently generated for other users, to publicly available information used to train our models, or to any third-party content incorporated into the Output.

Our Use of Content: We may use Content (Input and Output) to provide, maintain, develop, and improve the Services, comply with legal obligations, enforce these Terms, and ensure the security of our platform. If you do not wish for your Content to be used to train our models, you may contact us at hi@happylecture.com for guidance on opting out, though this may limit certain functionalities.


7. Accuracy and Reliance on Outputs

Our AI technology, while advanced, may produce incomplete, inaccurate, or unsatisfactory Output. By using our Services, you acknowledge and agree that:

  • Output may not always be factually accurate or suitable for your specific needs.
  • You must independently evaluate the accuracy and appropriateness of the Output before using it for any purpose.
  • You should not rely solely on Output as professional advice (e.g., legal, medical, financial) and should seek qualified professional counsel where necessary.
  • If the Output references third-party products or services, it does not imply endorsement or affiliation by such third parties.

8. Payment, Billing, and Cancellation

Billing Information: If you purchase a paid plan, you agree to provide accurate and complete payment information. We may store and use your payment details for billing purposes. Recurring subscription fees will be charged automatically on the agreed-upon billing cycle.

Taxes: You are responsible for any applicable taxes. We will collect and remit taxes where required by law.

Cancellation: You may cancel your subscription at any time by following the instructions provided in your account settings or by contacting us at hi@happylecture.com. Unless required by law, payments are non-refundable. Any cancellation will take effect at the end of the current billing period.

Price Changes: We may adjust our pricing from time to time. We will provide at least 30 days’ notice for any subscription price increases. If you do not agree to the new price, you must cancel your subscription before it takes effect.


9. Termination and Suspension

We may suspend or terminate your access to the Services if:

  • You breach these Terms or violate our policies.
  • Required by law or legal process.
  • Your use of the Services poses a risk to us, our users, or others.

If your account is inactive for over a year and not on a paid plan, we may terminate it. We will provide advance notice before account termination where reasonable.

You may stop using the Services at any time. If you believe your account was terminated or suspended in error, please contact us at hi@happylecture.com.


10. Discontinuation of Services

We may decide to discontinue the Services or any part thereof. If we do, we will give you advance notice and refund any prepaid, unused fees where required by law.


11. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and reliability.

You understand that use of the Services is at your own risk. We do not guarantee that the Services will be uninterrupted, error-free, or free from harmful components.


12. Limitation of Liability

To the fullest extent permitted by applicable law, HappyLecture, its affiliates, and licensors will not be liable for any indirect, incidental, special, consequential, or exemplary damages arising from your use of the Services. Our total liability to you for any claims arising out of or related to these Terms or the Services will not exceed the amount you paid for the Services in the 12 months preceding the claim or £100, whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury resulting from our negligence, or for any other liability that cannot be limited or excluded by law.


13. Indemnification

If you are using the Services on behalf of a business or organisation, you agree, to the extent permitted by law, to indemnify and hold HappyLecture, its affiliates, and personnel harmless from any third-party claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your Content, or your breach of these Terms.


14. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.

You and HappyLecture agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or relating to these Terms or the Services.


15. Changes to These Terms

We may update these Terms from time to time, for example to reflect changes in the Services, applicable laws, or other factors. If we make material changes that adversely affect your rights, we will provide at least 30 days’ notice by email or through the Services. If you do not agree to the updated Terms, you must stop using the Services. Your continued use of the Services after changes become effective constitutes your acceptance of the changes.


16. Miscellaneous

Assignment: You may not assign or transfer these Terms or your rights and obligations without our prior written consent. We may freely assign or transfer these Terms.

Severability: If any part of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any provision of these Terms shall not be deemed a waiver of that right.

Entire Agreement: These Terms constitute the entire agreement between you and HappyLecture regarding your use of the Services and supersede any prior agreements or understandings.
